Our Code of Conduct sets out the framework for ethical behaviour in our company. We are committed to treating employees, customers and business partners honestly, fairly, and with respect. We refrain from any kind of discrimination and harassment and other inappropriate behavior in the working environment such as corruption and unfair competition. We are committed to health and well-being, respect and integrity, openness and responsible behavior in our daily actions and decisions in the company. The Code of Conduct is an integral part of the employment contract and regular training is provided. All employees are responsible for complying with the applicable legislation and consistently implementing our principles and values.

The Ypsomed Group's rules and regulations on Corporate Governance are defined in the Articles of Association, in the Organizational Regulations of Ypsomed Holding AG and in the Code of Conduct of the Ypsomed Group and correspond to the Corporate Governance Directive issued by the SIX Swiss Exchange.

Ypsomed group structure

Ypsomed Holding AG is organised as a holding company pursuant to Swiss law and directly or indirectly owns or controls all the companies that form part of the Ypsomed Group worldwide. None of Ypsomed Holding AG’s subsidiaries are listed companies.

Shareholder structure

There were 12 394 shareholders owning shares registered in the Share Register on March 31, 2026 (previous year: 9 394 shareholders). Of these shareholders, some 97% report Switzerland as their place of residence.

Significant shareholders and significant shareholder groups

The "Michel Family" shareholder group, which aims to hold shares in family ownership, consists of Willy Michel, who holds shares both directly and indirectly through Techpharma Management AG, which he controls, as well as through Ypsomed Holding AG and Ypsomed AG, and his children Simon Michel, a member of the Board of Directors of Ypsomed Holding AG and CEO of the Ypsomed Group, Serge Michel and Lavinia Camilla Nussio, who each hold the shares directly. As of 31 March 2026, the "Michel Family" shareholder group collectively holds a total of 9 788 478 (previous year: 9 764 523) registered shares of Ypsomed Holding AG, representing 71.7% (previous year: 71.5%) of all shares of the company.
